1. Agreement to these Terms

These Terms & Conditions ("Terms") govern your access to and use of the Services. By creating an account, participating in the NEST contributor programme, or purchasing enterprise data-access services, you agree to these Terms. If you do not agree, do not use the Services.

2. Who we are (Company details)

3. Definitions

"Services" means the MetaEdge website, contributor programme, and enterprise data-access products. "Contributor" means a user who shares idle household resources through NEST. "Customer" means a business that purchases data-access services. "NEST Points" means the loyalty/reward units credited for eligible contribution.

4. Eligibility

You must be of legal age and have capacity to enter a binding contract in your jurisdiction, and you must complete any required identity verification (KYC/AML).

5. Accounts

You are responsible for the accuracy of your account information and for keeping your credentials secure. You are responsible for activity under your account.

6. The Services

MetaEdge operates a consent-first residential edge network. Contributors may share idle bandwidth/resources; Customers may access governed web-data services subject to the Acceptable Use Policy and applicable law.

7. NEST contributor terms and compensation

Eligible contribution is rewarded in NEST Points only, calculated as described in the programme materials. NEST Points are reward units, are subject to the programme rules and caps, and are not a security, deposit, or a promise of monetary payment by MetaEdge. MetaEdge does not make cash or stablecoin payments to users. Any redemption of NEST Points, where offered, is governed by the applicable programme terms and may be facilitated by a third party.

8. Payments

Where you purchase Services, payment is collected through an independent third-party payment processor. Where stablecoins are accepted, they are accepted only as a means of payment from you to MetaEdge via that processor; MetaEdge is not a money-services business or money transmitter and does not disburse stablecoins to users. You are responsible for any taxes applicable to your use of the Services.

9. Acceptable use

Your use of the Services is subject to our Acceptable Use Policy, which is incorporated into these Terms. Prohibited uses may result in suspension or termination.

10. Intellectual property

MetaEdge and its licensors own all rights in the Services, software, and brand. We grant you a limited, non-exclusive, non-transferable licence to use the Services in accordance with these Terms.

11. Disclaimers

The Services are provided "as is" and "as available" to the fullest extent permitted by law, without warranties of any kind, express or implied.

12. Indemnification

You agree to indemnify MetaEdge against claims arising from your breach of these Terms or misuse of the Services.

13. Term and termination

We may suspend or terminate access for breach of these Terms or where required by law. Provisions that by their nature should survive termination will survive.

14. Governing law and dispute resolution

These Terms are governed by the laws of Taiwan (R.O.C.). Any dispute, controversy, or claim arising out of or relating to the Services or these Terms shall be subject to the exclusive jurisdiction of the Taiwan Taipei District Court, and you consent to that venue. This does not deprive you of the protection of mandatory consumer and data-protection laws of your own country of residence, which continue to apply to the extent they cannot be excluded by agreement.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Services. Continued use after changes take effect constitutes acceptance.
